Legal Agreement

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

User Obligations and Responsibilities

If you are using our services to create content for third-party platforms such as YouTube, you acknowledge that you must also comply with the terms of service, community guidelines, and policies of those platforms. We are not responsible for your compliance with third-party platform requirements.

5. Indemnification

You agree to indemnify, defend, and hold harmless Creator Studio, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services, your violation of these Terms and Conditions, or your infringement of any third-party rights.

1. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties regarding specific results, viewer counts, engagement metrics, or revenue generation

2. Results and Performance

While we strive to deliver high-quality services and optimize content for success, we cannot guarantee specific outcomes, audience growth rates, engagement levels, or revenue generation. Success in content creation depends on numerous factors beyond our control, including but not limited to platform algorithms, audience preferences, market conditions, content quality, consistency, and client collaboration. Individual results may vary significantly.

3. Limitation of Liability

To the maximum extent permitted by applicable law, Creator Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Damage to reputation or goodwill
• Cost of procurement of substitute services
• Any other intangible losses

Our total liability for any claims arising out of or relating to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

4. Third-Party Platforms and Services

We are not responsible for the actions, policies, or terms of third-party platforms such as YouTube, social media networks, or other distribution channels. Changes to third-party algorithms, policies, or requirements may affect the performance of content we create, and we cannot be held liable for such impacts.

5. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service provider failures, or equipment malfunctions.

Legal Information and Dispute Resolution

1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Tokyo, Japan for the resolution of any disputes.

2. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or our services, the parties agree to follow this resolution process:

Step 1: Good faith negotiation between the parties for a period of 30 days
Step 2: If negotiation fails, mediation by a mutually agreed-upon mediator
Step 3: If mediation is unsuccessful, arbitration or litigation as permitted by law

3. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to file or participate in class action lawsuits against Creator Studio.

4. Time Limitations

Any claim or cause of action arising out of or related to use of our services or these Terms and Conditions must be filed within one year after the claim or cause of action arose. Failure to file within this period shall result in permanent bar of such claims.

Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If such modification is not possible, the provision shall be severed from these Terms and Conditions.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and all remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any specific service agreements or contracts you enter into with us, constitute the entire agreement between you and Creator Studio regarding the use of our services.

These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Creator Studio. No amendment or modification of these terms shall be valid unless made in writing and signed by an authorized representative of Creator Studio.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by Creator Studio to assert a right or provision under these terms shall not constitute a waiver of such right or provision. All waivers must be in writing and signed by an authorized representative of Creator Studio.

Assignment

You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. We may assign or transfer these terms, in whole or in part, without restriction or notification.

Survival

The provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution procedures, and any other provisions that expressly or by their nature are intended to survive termination or expiration of this agreement.

Modifications to Terms

We reserve the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. When changes are made, we will update the "Last Updated" date at the top of this page. For material changes, we may provide additional notice through email notification or prominent website announcement. Your continued use of our services after such modifications constitutes your acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of our services.
